1. General

1.1 These terms govern the use of the services of Prime Stack, operated by Eyal Meshulam (exempt dealer), 57 HaTichon St., Haifa, Israel (“Prime Stack”, “we”).

1.2 Using the website primestack.co.il and/or purchasing a service constitutes full acceptance of these terms.

1.3 The service is available to persons aged 18 and over only.

1.4 Prime Stack reserves the right to update these terms at any time. Material changes will be published on the site and take effect 14 days after publication.

2. The Services

2.1 Prime Stack provides fast, custom-built websites for businesses using modern technology (Astro), including design, development, search engine optimization (SEO) and AI-engine optimization (GEO), and ongoing maintenance under a monthly subscription model.

3. Packages and Pricing

3.1 Landing Page - setup fee ₪2,700 (up to 6 installments) + monthly subscription ₪349. One focused page: who you are, what you offer, and how to reach you.

3.2 Full Brochure Site + Blog - setup fee ₪4,500 (up to 9 installments) + monthly subscription ₪349. A multi-page site with a blog system for ongoing content.

3.3 Online stores and complex projects - by custom quote only.

3.4 What the monthly subscription includes: managed hosting on Cloudflare infrastructure, domain, SSL certificate, backups, ongoing security updates, fixes and technical support, a monthly work hour for content updates, and an on-site AI rep - automatic visitor answering and lead collection, up to 1,000 conversations per calendar month. The quota resets at the start of each month; unused conversations do not roll over. Once the quota is reached, inquiries are directed to the business’s direct contact channels. Quota extension: for an additional ₪100/month the quota grows to up to 5,000 conversations per month.

3.5 The listed prices are the final prices payable. No VAT is currently charged for the services; should VAT become applicable in the future, it will be added to the prices as required by law from its effective date. Prime Stack may update prices with 30 days’ advance notice; updates will not apply retroactively to periods already paid.

4. Payment and Billing

4.1 Setup fee - paid once upon ordering, via the secure payment system of Grow (Meshulam). Credit card details are not stored by us.

4.2 Monthly subscription - charged monthly. The subscription may be set up at the time of ordering, or at the latest when the site goes live.

4.3 In case of non-payment, a reminder will be sent. If payment is not settled within 5 business days, the site will be suspended until the debt is settled.

5. Delivery Times

5.1 The site will go live within 7 business days from completion of payment, receipt of all content and its approval - depending on project complexity.

5.2 Delays caused by waiting for content or approvals from the client are not counted toward delivery time.

5.3 Change requests and fixes are typically handled within 3 business days.

6. Cancellation and Refunds

6.1 Setup fee - the order may be cancelled with a full refund as long as work on the site has not begun. Once work has begun (content collection, characterization, design or development) - the setup fee is non-refundable.

6.2 Monthly subscription - the client may cancel at any time with 3 business days’ written notice (WhatsApp or email). There is no minimum commitment. No prorated refund is given for a month already paid.

6.3 Upon subscription termination - the site is taken offline. Client content is kept for 30 additional days for migration purposes, after which it is deleted.

7. Intellectual Property

7.1 Content provided by the client (texts, logo, images) - remains the client’s property at all times, and the client is responsible for holding full rights to use it.

7.2 The site’s code and design - transfer to the client’s ownership upon project completion and full payment of the setup fee.

7.3 Open-source libraries included in the site are subject to their original licenses.

Prime Stack provides, as an accompanying service, drafts of a privacy policy, terms of service and/or accessibility statement for the client’s site. These documents are provided for convenience only and do not constitute legal advice. Responsibility for reviewing them and adapting them to the business rests solely with the client.

9. Liability and Its Limitation

9.1 Prime Stack is committed to performing work to a high professional standard.

9.2 Site performance, search engine rankings and business results also depend on external factors, and no specific outcome can be guaranteed.

9.3 Prime Stack is not liable for indirect damages, loss of profits or consequential damages. Maximum liability shall not exceed the amounts actually paid by the client in the three months preceding the event.

9.4 Prime Stack is not responsible for content provided or published by the client on their site.

10. Force Majeure

Prime Stack shall not be liable for delays or failures in service resulting from circumstances beyond its control, including infrastructure and third-party provider failures, natural disasters, war, cyber attacks or government directives.

11. Dispute Resolution

11.1 The parties shall seek to resolve any dispute through negotiation within 30 days.

11.2 Failing agreement - exclusive jurisdiction is granted to the competent courts of the Haifa district, and these terms are governed by the laws of the State of Israel.
