1. General

1.1 These terms govern the use of the services of Prime Stack, operated by Eyal Meshulam (exempt dealer), 57 HaTichon St., Haifa, Israel (“Prime Stack”, “we”).

1.2 Using the website primestack.co.il and/or purchasing a service constitutes full acceptance of these terms.

1.3 The service is intended for persons aged 18 and over only. Purchases on the site may be made only by a person who is at least 18 years old and legally capable of entering into a binding transaction. The buyer expressly declares this at the time of purchase, as set out in section 4.4.

1.4 Prime Stack reserves the right to update these terms at any time. Material changes will be published on the site and take effect 14 days after publication.

2. The Services

2.1 Prime Stack provides fast, custom-built websites for businesses using modern technology (Astro), including design, development, search engine optimization (SEO) and AI-engine optimization (GEO), and ongoing maintenance under a monthly subscription model.

3. Packages and Pricing

3.1 Long One-Page Brochure Site (1Pager) - setup fee ₪450 on sale (up to 3 installments). The price before the sale: ₪1,500, in effect from July 3, 2026 to September 27, 2026. One focused page: who you are, what you offer, and how to reach you.

3.2 Full Brochure Site + Blog - setup fee ₪990 on sale (up to 6 installments). The price before the sale: ₪2,700, in effect from September 27, 2026. A multi-page site with a blog system for ongoing content.

3.3 As-is migration of an existing site - setup fee ₪1,500 (up to 3 installments). Migration with a redesign and new content - setup fee ₪1,500 (up to 3 installments).

3.4 Online stores - splitting and upgrading an existing store ₪6,300, a new store build ₪9,999 (up to 6 installments), plus a monthly subscription of ₪349 that includes everything in section 3.5(c), one hour of work a month and an AI rep for up to 300 conversations a month. A large or complex store - by custom quote.

3.5 Monthly payment for a brochure site (including a long one-page site) and a migrated site - the client chooses one plan:

(a) Hosting - ₪45 a month: managed hosting on Cloudflare infrastructure, connecting the domain (the domain itself is registered in the client’s name and paid for by the client), SSL certificate, backups, security updates and health checks.

(b) Hosting and care - ₪99 a month: everything in Hosting, plus up to 2 content change requests a month. One change request is a change to one page, text or an image, up to a quarter of an hour of work. Unused requests do not roll over.

(c) All included - ₪249 a month: everything in Hosting and care, an AI rep for up to 250 conversations a month, and content management.

Add-ons for any plan: an AI rep - ₪49 a month for up to 100 conversations, ₪119 for up to 250, or ₪239 for up to 500; content management, in which the client edits the text on the site themselves - ₪79 a month.

Work not included in the chosen plan is billed at ₪180 per hour of work, and larger work gets a quote in advance.

3.6 AI rep - automatic visitor answering and lead collection, within the conversation quota of the plan or add-on. The quota resets at the start of each calendar month; unused conversations do not roll over. Beyond the quota, each additional conversation is billed at ₪1. For the purposes of this section, a conversation means a single visitor inquiry to the AI rep, regardless of how many messages are exchanged within it. A client may request a hard monthly cap, upon reaching which inquiries are directed to the business’s direct contact channels.

3.7 The listed prices are the final prices payable. No VAT is currently charged for the services; should VAT become applicable in the future, it will be added to the prices as required by law from its effective date. Prime Stack may update prices with 30 days’ advance notice; updates will not apply retroactively to periods already paid.

3.8 Domain promotion, October-November 2026 - a client who orders a website by 30.11.2026 and chooses the “Hosting and care” plan (section 3.5(b)) receives from Prime Stack, at no charge, the registration of one Israeli domain (co.il) and its annual renewal, for as long as the Hosting and care plan remains continuously active. The domain is registered in the client’s name. When the plan ends, for any reason, the domain remains the client’s property and renewals from that point on are the client’s responsibility and expense.

4. Payment and Billing

4.1 Setup fee - paid once upon ordering, via the secure payment system of Grow (Meshulam). Credit card details are not stored by us.

4.2 Monthly subscription - charged monthly. The subscription may be set up at the time of ordering, or at the latest when the site goes live.

4.3 In case of non-payment, a reminder will be sent. If payment is not settled within 5 business days, the site will be suspended until the debt is settled.

4.4 Before proceeding to payment, the buyer enters their details on the site’s checkout page (first and last name, phone, email and country) and confirms, by ticking a checkbox, that they have read these terms, agree to them and are at least 18 years old. Without this confirmation the purchase cannot proceed. The time of the confirmation and the version of the terms accepted are kept on record.

5. Delivery Times

5.1 A brochure site will go live within 7 business days from completion of payment, receipt of all content and its approval. A full online store will go live within 2-4 weeks from design approval. In both cases, timelines depend on receiving the client’s materials on time and on project complexity.

5.2 Delays caused by waiting for content or approvals from the client are not counted toward delivery time.

5.3 Change requests and fixes are typically handled within 3 business days.

6. Cancellation and Refunds

6.1 Setup fee - the order may be cancelled with a full refund as long as work on the site has not begun. Once work has begun (content collection, characterization, design or development) - the setup fee is non-refundable, except where the client is not satisfied with the design, as set out in section 6.4.

6.2 Monthly subscription - the client may cancel at any time by written notice (WhatsApp or email). Handling a request takes up to 3 business days, so for the next charge (on the 1st of the month) not to be taken, the notice must be sent at least 3 business days before it. The cancellation takes effect at the end of the calendar month in which it was handled: the current month is charged in full, and charges stop from the following month. There is no minimum commitment. No prorated refund is given for a month already paid.

6.3 Upon subscription termination - the site is taken offline. Client content is kept for 30 additional days for migration purposes, after which it is deleted.

6.4 Satisfaction with the design - before building begins, the design is revised until the client is satisfied with it. A client who is not satisfied with the design may cancel the order at any stage before the site goes live and receive a full refund of the setup fee. In that case the design and code prepared are not handed over to the client. This section applies to the setup fee only, not to a domain purchased or to a monthly subscription.

7. Intellectual Property

7.1 Content provided by the client (texts, logo, images) - remains the client’s property at all times, and the client is responsible for holding full rights to use it.

7.2 The site’s code and design - transfer to the client’s ownership upon project completion and full payment of the setup fee.

7.3 Open-source libraries included in the site are subject to their original licenses.

8. Legal Documents for Clients

Prime Stack provides, as an accompanying service, drafts of a privacy policy, terms of service and/or accessibility statement for the client’s site. These documents are provided for convenience only and do not constitute legal advice. Responsibility for reviewing them and adapting them to the business rests solely with the client.

9. Liability and Its Limitation

9.1 Prime Stack is committed to performing work to a high professional standard.

9.2 Site performance, search engine rankings and business results also depend on external factors, and no specific outcome can be guaranteed.

9.3 Prime Stack is not liable for indirect damages, loss of profits or consequential damages. Maximum liability shall not exceed the amounts actually paid by the client in the three months preceding the event.

9.4 Prime Stack is not responsible for content provided or published by the client on their site.

9.5 Service warranty - while the monthly subscription is active, Prime Stack will fix, at no additional charge, any fault in the site that originates in its own work. This warranty does not cover faults caused by changes made by the client or anyone on the client’s behalf, by content provided by the client, or by third-party services (such as the domain registrar, the payment system, mailing services and external software providers).

9.6 Liability for damages - use of the site built and of the related services is at the client’s own responsibility. Prime Stack shall not be liable for any damage, direct or indirect, caused to the client or to a third party as a result of using the site or the service or relying on them, including loss of data, downtime or loss of income, except for damage caused by gross negligence or wilful misconduct on the part of Prime Stack. In any event, liability is subject to the cap in section 9.3.

10. Force Majeure

Prime Stack shall not be liable for delays or failures in service resulting from circumstances beyond its control, including infrastructure and third-party provider failures, natural disasters, war, cyber attacks or government directives.

11. Dispute Resolution

11.1 The parties shall seek to resolve any dispute through negotiation within 30 days.

11.2 Failing agreement - exclusive jurisdiction is granted to the competent courts of the Haifa district, and these terms are governed by the laws of the State of Israel.
